These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Codpal Inc. ("Codpal," "we," "our," or "us") governing your access to and use of the Codpal AI tooling platform.
2. Services
Codpal provides AI tooling services, including:
- Prompt, eval, and release management
- Agent workflow orchestration
- Usage analytics and observability
- Team collaboration and approvals
3. Eligibility
Codpal services are intended for professional use by:
- Registered businesses and teams
- Engineering, product, and ML organizations
- Authorized representatives of such organizations
4. Subscription and Fees
Access to Codpal requires a paid subscription unless otherwise agreed. Current pricing is available on our website. All fees are quoted in USD unless otherwise specified.
5. Acceptable Use
You agree not to:
- Misuse or attempt to reverse engineer the platform
- Upload unlawful, harmful, or infringing content
- Interfere with the security or availability of the service
6. Data Ownership
Workspace data you store in Codpal remains your property. You may export your data at any time using standard formats.
7. Availability
Codpal targets high availability for the platform, excluding scheduled maintenance, force majeure, or outages caused by third parties.
8. Limitation of Liability
Codpal is not liable for indirect, incidental, or consequential damages arising from your use of the services. Liability is limited to fees paid in the 12 months prior to the claim.
9. Indemnification
You agree to indemnify and hold harmless Codpal, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
10. Termination
We may suspend or terminate your access if you violate these Terms or applicable law.
